The AGM is LapWall's highest decision-making body and is convened by the Board of Directors. In addition to the domicile of the Company, General Meetings can also be held in Oulu or Helsinki.
The AGM must be held every year on a day set by the Board of Directors within six months after the fiscal year ends. In accordance with the Articles of Association, the AGM resolves, for example, on adopting the financial statements, the use of the profit shown in the balance sheet, releasing the members of the Board of Directors and CEO from liability, the number of members of the Board, and the remuneration of the members of the Board and the auditors. The AGM also elects the members of the Board of Directors and the auditor and handles any other matters included in the notice of the meeting.
An Extraordinary General Meeting shall be convened when the Board of Directors deems it appropriate or if so requested in writing by the auditor or by shareholders whose shares represent at least one-tenth of all of the Company’s issued shares not held by the Company.
The notice of the AGM shall be published on the Company's website no earlier than three (3) months and no later than three (3) weeks before the AGM, but always at least nine (9) days before the record date of the AGM.
If a shareholder wishes to participate in the AGM, they must register in advance in the manner mentioned in the notice of the meeting and by the date mentioned in the notice, that can, at the earliest, be ten (10) days before the day of the meeting.
Shareholders who, no later than eight (8) weekdays prior to the AGM (record date of the AGM), are registered in the shareholders’ register of LapWall Oyj maintained by Euroclear Finland and who have registered for the AGM no later than on the date specified in the notice of the meeting, or nominee-registered shareholders who are temporarily registered in the Company’s shareholders’ register for the purpose of attending the meeting have the right to attend the AGM.
A shareholder can participate in the AGM themselves or through a proxy authorized by the shareholder.
A shareholder can attend the AGM and exercise their rights there either personally or through a proxy representative they have authorized. Each share entitles the shareholder to one vote If a holder of nominee-registered shares wishes to attend the AGM and exercise their voting rights, they must temporarily register the shares in their own name in the shareholders’ register of LapWall Oyj maintained by Euroclear Finland. The notice of temporary registration shall be made no later than the date indicated in the notice to the AGM, which must be after the record date of the AGM.
